Welcome to PingToken Platform (hereinafter referred to as "the Platform"), which provides enterprise-level services such as unified routing, transit, load balancing, edge acceleration, and billing management for large model APIs, as well as API gateway and invocation infrastructure services. This User Registration Agreement (hereinafter referred to as "this Agreement") is a service agreement between you and the Platform regarding the registration and use of the Platform. Please read and fully understand the contents of this Agreement before registering a Platform account, especially the clauses that exempt or limit liability. Your successful registration and use of the Platform services constitute your acceptance of all terms of this Agreement.
1. Service Content
1.1 The Platform provides users with large model API unified routing, transit, load balancing, edge acceleration, billing management, and other services, supporting access to 50+ mainstream large models.
1.2 The Platform may update service content according to business development needs, and will announce or notify users through the Platform homepage, in-app messages, etc.
1.3 Users must comply with this Agreement, Platform usage rules, and relevant laws and regulations when using services.
2. User Registration and Account Management
2.1 Registration Conditions: Users must be civil subjects with full civil capacity; for enterprise users, they must be legally established and operating enterprises, and can use Platform services only after providing real and valid identity information and enterprise information.
2.2 Account Information: Users are responsible for the authenticity, legality, and validity of registered account information; if the information changes, it should be updated in a timely manner.
2.3 Account Security: Users shall properly keep account passwords, verification codes, and other information; all behaviors under the user account shall be regarded as the user's own behaviors, and the user shall bear corresponding responsibilities.
2.4 Account Use Restrictions: Users shall not lend, transfer, sell, or otherwise dispose of the account without the Platform's written consent; if the account is stolen or used without authorization due to improper user storage, the user shall bear the losses by themselves.
3. User Rights and Obligations
3.1 User Rights:
(1) Use Platform services in accordance with this Agreement;
(2) Inquire about own account information, API call records, billing information, etc.;
(3) Provide feedback and suggestions on Platform services;
(4) Other rights stipulated by laws and regulations.
3.2 User Obligations:
(1) Comply with this Agreement, Platform usage rules, and relevant laws and regulations;
(2) Provide real, legal, and valid identity information and enterprise information, and update in a timely manner when information changes;
(3) Use Platform services legally, and shall not use the Platform to engage in illegal activities;
(4) Pay service fees in accordance with Platform charging rules;
(5) Take care of account passwords, verification codes, and other information, and bear responsibilities for behaviors under the account;
(6) Other obligations stipulated by laws and regulations.
4. Platform Rights and Obligations
4.1 Platform Rights:
(1) Review user registered information;
(2) Take measures such as restricting account use and terminating services for user violations of this Agreement or laws and regulations;
(3) Charge service fees in accordance with charging rules;
(4) Other rights stipulated by laws and regulations.
4.2 Platform Obligations:
(1) Provide stable, safe, and reliable services in accordance with this Agreement;
(2) Protect user information security in accordance with the Privacy Policy;
(3) Respond to user inquiries, complaints, and suggestions in a timely manner;
(4) Other obligations stipulated by laws and regulations.
5. Service Fees and Payment Methods
5.1 The Platform may charge service fees for provided services, and the specific charging standards and payment methods shall be subject to the Platform's announcement or user agreement.
5.2 Users shall pay service fees in accordance with the agreed charging standards and payment methods; if users fail to pay fees on time, the Platform may restrict or suspend service provision.
5.3 The Platform may adjust charging standards according to business development needs, and will announce or notify users in advance; users who continue to use services after adjustment shall be deemed to agree to the adjusted charging standards.
6. Intellectual Property Rights
6.1 All intellectual property rights such as software, trademarks, patents, copyrights, and trade secrets related to Platform services belong to the Platform or the right holders.
6.2 Users may only use Platform services within the scope agreed in this Agreement, and shall not reproduce, modify, distribute, publicly display, or otherwise use the Platform's intellectual property without the Platform's written consent.
7. Liability for Breach of Agreement
7.1 If either party violates this Agreement and causes losses to the other party, it shall bear corresponding liability for breach of agreement.
7.2 If the user violates this Agreement, laws, or regulations, the Platform may take measures such as restricting account use, suspending service provision, and terminating the agreement, and the user shall bear corresponding responsibilities.
7.3 The Platform may, in accordance with laws and regulations, assist judicial or administrative authorities in investigating and handling user illegal behaviors.
8. Disclaimer
8.1 The Platform is not responsible for service interruptions or information loss caused by force majeure, system failures, network failures, or other non-Platform reasons.
8.2 When users use Platform services to call third-party large model APIs, the third party's service quality, security, and other issues shall be the responsibility of the third party, and the Platform does not assume corresponding responsibilities.
8.3 The Platform is not responsible for any losses caused by user operations, such as improper operations or information leakage.
8.4 The Platform does not guarantee that services will be uninterrupted or error-free, but will promptly repair service failures and optimize service quality.
9. Agreement Termination
9.1 This Agreement may be terminated by mutual agreement between both parties.
9.2 If the user violates this Agreement, laws, or regulations, the Platform may unilaterally terminate this Agreement and restrict or close the user's account.
9.3 If the user does not use the account for a long time and does not comply with Platform account management rules, the Platform may recycle the account and terminate this Agreement.
9.4 After the termination of this Agreement, the Platform may delete user-related information in accordance with laws and regulations and its own rules, except as otherwise stipulated by laws and regulations.
10. Dispute Resolution
10.1 The conclusion, execution, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China.
10.2 Any dispute arising from this Agreement shall be resolved through friendly negotiation by both parties; if negotiation fails, either party may file a lawsuit to the people's court with jurisdiction in the place where the Platform is located.
11. Other Provisions
11.1 The Platform may modify this Agreement according to business development needs, and will announce or notify users through the Platform homepage, in-app messages, etc.; users who continue to use services after modification shall be deemed to agree to the modified Agreement.
11.2 Matters not covered in this Agreement shall be implemented in accordance with Platform usage rules and relevant laws and regulations; Platform usage rules are an integral part of this Agreement and have the same legal effect as this Agreement.
11.3 If any clause of this Agreement is deemed invalid or unenforceable for any reason, it shall not affect the validity and enforceability of other clauses.
This Agreement shall take effect from the date of issuance. PingToken Platform reserves the right of final interpretation.
